1. Includes shares acquired under the Employee Stock Purchase Plan as of 6/29/21 and shares of restricted stock granted under the 2019 Stock Incentive Plan.
2. Exercisable as to 50% on the second anniversary of date of grant (6/30/20), with the remaining 50% exercisable on the third anniversary of date of grant (6/30/20), subject to the terms of the stock option agreement.
3. The actual number of performance shares the reporting person will receive at the end of the performance period will be based on pre-determined corporate financial performance criteria. If the threshold level of performance is not met, no performance shares will be issued pursuant to the Performance Award Agreement.

stead, to sign any reports on Form 3 (Initial Statement of Beneficial Ownership
of Securities), Form 4 (Statement of Changes in Beneficial Ownership of
Securities) and Form 5 (Annual Statement of Changes in Beneficial Ownership of
Securities) relating to transactions by me in Common Stock or other securities
of Apogee Enterprises, Inc. and all amendments thereto, and to file the same,
